Terms of Service

Please read these Terms of Service ("Terms") carefully before using MeasureFirst, the AI-powered construction measurement and estimation platform operated at ai.themeasurefirstapp.com ("Platform," "we," "us," or "our").

By creating an account, clicking "I Agree," completing registration, or otherwise accessing or using the Platform, you ("User," "you") acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any additional guidelines or policies incorporated herein by reference.

MeasureFirst is a Software-as-a-Service (SaaS) platform designed for construction professionals, contractors, and estimators. The Platform provides AI-powered tools for analyzing property photos, generating measurements, and producing construction estimates.

Core Features

• AI-assisted analysis of property photos and satellite imagery using Google Gemini.
• Automated measurement generation and construction estimation reports.
• Integration with Google Maps and Street View for property location and imagery.
• Project management tools to organize, track, and export estimation data.
• Credit-based usage model where each AI analysis consumes a defined number of credits.

Free Trial

New accounts receive a 7-day free trial with a limited number of credits, giving you access to the Platform's core features at no charge. We reserve the right to modify, suspend, or discontinue any feature of the Platform at any time with reasonable notice.

To use MeasureFirst, you must meet all of the following eligibility requirements:

• Age: You must be at least 18 years of age.
• Professional Context: MeasureFirst is intended for use by contractors, construction professionals, estimators, and businesses operating in the construction or real estate industry.
• Legal Capacity: You must have the legal capacity to enter into a binding agreement.
• Agreement to Terms: You must agree to these Terms and our Privacy Policy in their entirety. If registering on behalf of a business entity, you represent that you have the authority to bind that entity.

We reserve the right to refuse registration or terminate access for any user who does not meet these eligibility requirements.

To access MeasureFirst, you must create an account using one of the following authentication methods: email and password, Google Sign-In, or Yahoo Sign-In.

Accurate Information

You agree to provide accurate, current, and complete information during registration and to keep your account information updated. Providing false or fraudulent information is a violation of these Terms and may result in immediate account termination.

Account Security

You are solely responsible for maintaining the confidentiality of your login credentials. Notify us immediately at accounts@ai.themeasurefirstapp.com if you suspect any unauthorized use of your account.

One Account Per User

Each user may maintain only one active account. Creating multiple accounts to circumvent credit limits, free trial restrictions, or subscription requirements is strictly prohibited.

Account Activity

You are responsible for all activity that occurs under your account, whether or not you authorized that activity.

7-Day Free Trial

New accounts are granted a 7-day free trial beginning at the time of registration with a limited number of credits and core Platform features. The free trial is available to each user only once.

Auto-Conversion to Paid Subscription

Unless you cancel your account before the free trial period ends, your account will automatically convert to a paid subscription at the conclusion of the 7-day trial.

Payment Processing

All subscription payments are processed by Stripe. By subscribing, you authorize MeasureFirst (via Stripe) to charge your payment method on a recurring basis. Stripe's handling of your payment information is governed by Stripe's Privacy Policy and Terms of Service.

No Refunds

Once a billing cycle has commenced and payment has been processed, all charges are final and non-refundable, except as required by applicable law. Cancellation will prevent future charges but will not result in a refund for the current billing period.

Price Changes

We reserve the right to modify subscription pricing at any time. We will provide at least 30 days' advance notice of any price changes via email to the address on file.

MeasureFirst operates on a credit-based system. Credits are the currency used to access AI-powered analysis and estimation features on the Platform.

Credit Consumption

Each AI analysis, measurement generation, or estimation task consumes a defined number of credits from your account balance. The credit cost for each operation will be displayed within the Platform before you initiate the action.

Credit Allocation

• Free Trial: A limited number of credits are included during the 7-day free trial period.
• Paid Subscriptions: Credits are allocated per billing cycle according to your subscription plan.
• Additional Credits: Where available, additional credit packages may be purchased separately.

No Credit Rollover

Unused credits at the end of a billing cycle do not carry over to the next billing period. We are not obligated to provide refunds or compensation for unused credits.

Right to Adjust Credit Costs

MeasureFirst reserves the right to adjust the credit cost of individual operations at any time with reasonable notice.

By using MeasureFirst, you agree to use the Platform only for lawful purposes and in accordance with these Terms. The following activities are strictly prohibited:

• Reverse Engineering: You may not decompile, disassemble, or attempt to derive the source code or underlying algorithms of any part of the Platform.
• Scraping & Automated Access: You may not use bots, crawlers, or automated tools to access, extract, or collect data from the Platform without our prior written consent.
• AI Feature Abuse: You may not deliberately feed false or malicious inputs into AI features to exploit or degrade AI outputs.
• Illegal Use: You may not use the Platform for any unlawful purpose, including fraud, money laundering, or intellectual property infringement.
• Unauthorized Access: You may not attempt to gain unauthorized access to any portion of the Platform or other user accounts.
• Interference: You may not transmit viruses or malware designed to interrupt or destroy the functionality of the Platform.
• Resale & Sublicensing: You may not resell, sublicense, or provide access to the Platform to third parties without our explicit written authorization.
• Misrepresentation: You may not impersonate another person or entity while using the Platform.

MeasureFirst Platform IP

MeasureFirst and its licensors own all right, title, and interest in and to the Platform, including all software, algorithms, models, designs, interfaces, trademarks, logos, and documentation. Nothing in these Terms transfers any ownership of Platform IP to you. Your use of the Platform is licensed, not sold.

License to Use the Platform

Subject to your compliance with these Terms and timely payment of applicable fees, MeasureFirst grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your internal business purposes.

User Data & Uploaded Content

You retain full ownership of all data, photos, property information, and other content that you upload or submit to the Platform ("User Content"). By submitting User Content, you grant MeasureFirst a limited, non-exclusive license to process, store, and transmit your User Content solely as necessary to provide the Platform's services to you.

Feedback

If you submit feedback, suggestions, or ideas about the Platform, you grant MeasureFirst a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate such feedback without any obligation to you.

MeasureFirst uses artificial intelligence, including Google Gemini, to generate measurements, estimates, and analysis reports based on property photos, addresses, and other inputs you provide.

Nature of AI Output

• AI-generated content is probabilistic and may contain errors, inaccuracies, or omissions.
• Output quality depends on the quality and completeness of the inputs you provide.
• AI models are continuously evolving; results may vary between sessions or platform updates.
• Measurements derived from aerial or satellite imagery may not reflect current on-site conditions.

No Liability for Decisions Based on AI Output

MeasureFirst expressly disclaims all liability for any loss, damage, cost, claim, or expense arising from decisions, bids, contracts, or actions taken in reliance on AI-generated content produced by the Platform. You assume full responsibility for independently verifying any AI-generated output before using it for professional, contractual, or financial purposes.

Professional Responsibility

Nothing in these Terms or within the Platform constitutes professional engineering, architectural, legal, or financial advice. Always consult qualified professionals before making consequential decisions based on Platform output.

MeasureFirst integrates with third-party services to deliver its functionality. Your use of these services through the Platform is subject to their respective terms and privacy policies.

Google (Maps, Gemini AI, and OAuth)

MeasureFirst uses Google Maps Platform for property display, Google Gemini AI for intelligent analysis, and Google Sign-In for optional authentication. Your use of these features is subject to Google's Terms of Service, the Google Gemini API Terms, and the Google API Services User Data Policy.

Yahoo (OAuth Sign-In)

MeasureFirst offers Yahoo Sign-In as an optional authentication method. Your use of Yahoo Sign-In is subject to Yahoo's Terms of Service and Yahoo's Privacy Policy.

Stripe (Payment Processing)

All payment processing is handled by Stripe. By subscribing to a paid plan, you agree to Stripe's Terms of Service and authorize Stripe to process payments on our behalf.

Service Provided "As Is"

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MEASUREFIRST EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MEASUREFIRST AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM.

Liability Cap

IN NO EVENT SHALL MEASUREFIRST'S TOTAL CUMULATIVE LIABILITY TO YOU EXCEED THE TOTAL AMOUNT YOU PAID TO MEASUREFIRST IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IF YOU HAVE NOT MADE ANY PAYMENTS IN THAT PERIOD, OUR MAXIMUM LIABILITY SHALL BE LIMITED TO USD $50.

You agree to defend, indemnify, and hold harmless MeasureFirst and its officers, directors, employees, contractors, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms or any applicable law or regulation.
• Your User Content or any data you submit to the Platform.
• Your use of the Platform, including any AI-generated output you act upon.
• Any claim by a third party arising from your use of the Platform.
• Your infringement of any intellectual property or other rights of a third party.

Termination by You

You may cancel your subscription and close your account at any time by accessing your account settings or by contacting us at accounts@ai.themeasurefirstapp.com. Cancellation will take effect at the end of your current billing cycle with no refund for the current period.

Termination or Suspension by MeasureFirst

MeasureFirst reserves the right to suspend or terminate your account, with or without notice, for reasons including: violation of these Terms, misuse of the Platform or credit system, non-payment of subscription fees, or fraudulent or harmful activity.

Effect of Termination

Upon termination, your license to use the Platform ceases immediately. Any outstanding subscription fees incurred prior to termination remain due and payable. Provisions of these Terms that by their nature should survive termination — including Sections 7, 8, 9, 11, 12, and 14 — will survive any termination or expiration.

These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of the State of Florida, United States of America, without regard to its conflict of law principles.

Any legal action or proceeding relating to your use of the Platform shall be brought exclusively in the state or federal courts located in Florida, USA, and you hereby consent to the personal jurisdiction of those courts.

We reserve the right to modify these Terms at any time. When we make material changes, we will:

• Update the Effective Date at the top of this page.
• Notify registered users via email at least 14 days before material changes take effect.
• Display a prominent notice within the Platform for a reasonable period following the change.

Your continued use of MeasureFirst after the revised Terms take effect constitutes your acceptance of the updated Terms. If you do not agree with a material change, you must stop using the Platform and cancel your subscription before the changes become effective.
